Terms of Service

Version 2026-10-11 · Effective October 11, 2026

1. Introduction & Agreement to Terms

These Terms of Service ("Terms"), together with the Propspect Privacy Policy, govern your access to and use of Propspect (the "Service" or "Platform"), an invite-only, business-to-business software-as-a-service platform for commercial real-estate prospecting. Propspect is operated by AIRE LLC, a Florida limited liability company ("Propspect," "we," "us," or "our"), in partnership with Gridline Properties, a commercial brokerage that helps shape the product as a business partner. Gridline Properties does not operate the Platform, is not a party to these Terms, and references in these Terms to "we," "us," or "Propspect" refer solely to AIRE LLC.

Structure of These Terms and the Privacy Policy

These Terms consist of the numbered sections below and, together with the Propspect Privacy Policy and any Order your Organization has entered into, set out the complete contractual relationship between you, your Organization, and Propspect. Where a section of these Terms refers by name to another section, that reference is to a section of this same document unless it expressly refers to a section of the Privacy Policy or of an Order.

Separately from these Terms, we maintain the Propspect Privacy Policy: a distinct document describing the categories of information we collect, how we collect and use it, the legal bases for our processing, how we handle publicly available records about individuals appearing in Property Data, how data is separated between Organizations, our use of cookies and analytics, data retention, security, international transfers, and your privacy rights and choices. The Privacy Policy is incorporated into these Terms by reference and is versioned and accepted alongside these Terms as described below, but it remains a separate document. Where a provision of these Terms refers to a section of the Privacy Policy, that reference is to the Privacy Policy's own section of that name. If there is a direct conflict between these Terms and the Privacy Policy on a matter the Privacy Policy specifically addresses, the Privacy Policy controls solely for that matter.

Agreement to These Terms

You accept these Terms and the Privacy Policy when you complete registration for the Service, at which point you are presented with a single signup checkbox confirming that you have read and agree to both documents together. You must affirmatively check that box to create an account; the Service does not permit registration without it. By checking that box, and by subsequently accessing or using the Platform, you agree to be bound by these Terms and by the Privacy Policy, in full. If you do not agree, you must not check the box and must not access or use the Service.

We record your acceptance on a per-user basis, including the timestamp of acceptance, the version of these Terms and the version of the Privacy Policy in effect at that time, and the IP address from which acceptance was submitted. This record is maintained as evidence of your agreement and may be used to establish which version of these Terms, and which version of the Privacy Policy, applies to your account at any given time.

If you are accepting these Terms on behalf of an Organization, you represent that you have the authority to bind that Organization, and "you" in these Terms refers to both you individually and the Organization on whose behalf you act, as context requires. The relationship between Users, Organizations, and Authorized Users is described further in the Organizations, Roles & Multi-Tenant Access section.

Business Use Only

Propspect is a business tool, not a consumer product. The Service is intended solely for business use by individuals who are at least 18 years old and who are acting on behalf of, and within the scope of their role at, an Organization. It is not directed to, and must not be used by, individuals acting in a personal or household capacity, and it is not directed to children. Access to the Service is by invitation or approved waitlist request, as described in the Eligibility, Invitation & Registration section, and is not available through open self-service signup.

Version and Effective Date

These Terms are versioned by date as a single document, separately from the Privacy Policy's own versioning. This version of these Terms is dated October 11, 2026 and is effective as of that date for all new registrations and, for existing Users, as described in the Changes to Terms & Notices section. We may request re-acceptance from existing Users when a new version of these Terms, or of the Privacy Policy, introduces material changes.

2. Definitions

The following capitalized terms have the meanings given below wherever they appear in these Terms. Each definition is intentionally brief; the substance of what each term covers is addressed in the sections that use it, including the Description of the Propspect Platform & Role, Organizations, Roles & Multi-Tenant Access, Subscriptions, Orders & Fees, Beta & Pilot Features and Feedback, Property Data License & Acceptable Use, and User Content & CRM Records sections. Other terms may be defined where they first appear in these Terms.

  • "Propspect," "we," "us," and "our" mean AIRE LLC, a Florida limited liability company, which operates the Platform.
  • "Service" or "Platform" means the Propspect website, applications, dashboards, and APIs, and related features that AIRE LLC makes available under these Terms.
  • "User" and "you" mean the individual who holds an account on the Platform.
  • "Organization" means the business entity, or tenant, on whose behalf a User accesses the Platform and to which the User belongs.
  • "Authorized User" means a User who has been admitted to use the Platform on behalf of an Organization, whether under an Order, a subscription, or beta or pilot access granted at no charge as described in the Beta & Pilot Features and Feedback section. A User is an Authorized User regardless of whether the Organization has a paid Order in place at the time.
  • "Property Data" means the public-record and licensed real-estate data made available on the Platform, together with the analytics, estimates, and other derived signals Propspect generates from that data.
  • "User Content" means notes, tasks, deals, contacts, saved searches, files, and any other content that Users submit to or create within the Platform.
  • "Order" means an ordering document or subscription agreement entered into between AIRE LLC and an Organization that governs paid access to the Platform.

References to an Organization's Authorized Users include any individual admitted to use the Platform on that Organization's behalf, whether under an Order, a subscription, or beta or pilot access granted at no charge, and regardless of the role assigned to them. References to Property Data and User Content are used consistently throughout these Terms to distinguish data Propspect sources and derives from data Users themselves create; the Property Data License & Acceptable Use section and the User Content & CRM Records section describe the rights and obligations attached to each.

3. Description of the Propspect Platform & Role

A Software and Data-Intelligence Tool

Propspect is a software and data-intelligence platform built for commercial real-estate professionals. It is designed to help Users research properties and owners, monitor market activity, and organize prospecting work within their Organization. Propspect is not a substitute for professional judgment, and nothing in this section should be read to expand the scope of the Service beyond what is described here.

The Platform aggregates public-record and licensed property data for covered markets, currently Miami-Dade and Broward Counties, Florida, including county clerk and recorder official records, property appraiser rolls, geographic information system (GIS) parcel data, and Florida corporate registry records available through Sunbiz. From this data, Propspect derives analytics and signals intended to help Users identify and prioritize prospects, such as ownership history, recorded mortgages and liens, estimated loan maturity, and other indicators associated with a property or its owner. These analytics and signals are Property Data, as defined in the Definitions section, and are described in more detail, including their limitations, in the Data Accuracy, OCR & AI-Derived Estimates section.

In addition to Property Data, Propspect provides a customer relationship management (CRM) system anchored to properties and owners, allowing Users to record notes, tasks, deals, contacts, and saved searches, and to organize territory targets within their Organization. Propspect also matches on-market and off-market inventory across Users of the Platform, sometimes referred to as the deal network, to help Users identify potential counterparties for a transaction. The scope and visibility of CRM content is governed by the Organizations, Roles & Multi-Tenant Access section and the User Content & CRM Records section.

Not a Brokerage

Propspect is not a brokerage and does not provide brokerage, agency, legal, tax, investment, or appraisal services of any kind. Propspect does not list properties for sale or lease, does not represent buyers or sellers in any transaction, and does not participate in, negotiate, or execute any real estate transaction. Any decision to pursue, negotiate, or complete a transaction involving a property identified through the Platform is made solely by the User and any licensed professionals the User separately engages. The Service is a research and organizational tool; it is not a party to, and assumes no role in, any transaction a User may pursue as a result of using it. Additional detail on the limits of the Platform's role in a User's decision-making is set out in the No Professional Advice & User Decision-Making section.

Gridline Properties

Propspect is operated exclusively by AIRE LLC. Gridline Properties, a commercial real estate brokerage, is a business partner that helps shape the product, including its features, data priorities, and covered markets, but Gridline Properties does not operate the Platform, is not a party to these Terms, and has no role in providing, hosting, or supporting the Service. References to Propspect's partnership with Gridline Properties describe a product-development relationship only and do not create any brokerage, agency, or client relationship between Gridline Properties and any User.

No Guarantee of Outcomes

Propspect is intended to help Users organize and inform their own prospecting activity, but it does not and cannot guarantee any particular outcome. We make no promise, warranty, or guarantee regarding whether, when, or on what terms any property will be bought, sold, leased, financed, or refinanced, or that any signal, estimate, or analytic derived by the Platform will prove accurate or lead to a successful transaction. Real estate outcomes depend on numerous factors outside Propspect's control, and Users assume all risk associated with decisions made using the Platform, subject to the disclaimers and limitations described in the Disclaimers, Limitation of Liability & Indemnification section.

4. Eligibility, Invitation & Registration

Propspect is a business-to-business platform. Access to the Service is not available to the general public and is granted only by invitation from an Organization administrator or by approval of a request submitted through our waitlist. We may decline to extend an invitation or approve a waitlist request for any reason, and holding an invitation or waitlist approval does not itself guarantee continued access to the Service.

Eligibility Requirements

The Service is intended solely for business use and is not offered to consumers. By registering for or using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are creating your account and using the Service on behalf of, and for the benefit of, an Organization rather than for personal, household, or consumer purposes. The Service is not directed to children, and we do not knowingly permit anyone under 18 to register for or use an account, regardless of whether they are acting on behalf of an Organization.

Invitation and Waitlist Approval

You may gain access to the Service in one of two ways: by accepting an invitation sent by an existing Organization administrator to join that Organization as an Authorized User, or by submitting a request through our waitlist and being approved for access. In either case, an account is provisioned for you only after the applicable invitation or approval step is complete. Section Organizations, Roles & Multi-Tenant Access describes how Organizations, administrators, and Authorized Users relate to one another once access has been granted.

Registration Information

When you register, you agree to provide true, accurate, current, and complete information about yourself and, where applicable, your Organization, and to promptly update that information if it changes. We rely on the information you provide to create and configure your account, associate you with the correct Organization, and operate the features described in this document. Providing false, misleading, or incomplete information may result in delayed, limited, or suspended access to the Service.

Authentication Methods

The Service supports two methods of account authentication:

  • Email and password: you create a password for your account and must verify your email address before you can fully access the Service. We may withhold or limit access to certain features until email verification is complete.
  • Google sign-in: you may authenticate using your Google account credentials through Google OAuth. If you use this method, your identity is verified by Google, and you do not create a separate Propspect password.

Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password (if you registered using email and password) and any device or session used to access your Google account (if you registered using Google sign-in). You agree not to share your credentials with any other person or permit anyone else to access the Service using your account. You must notify us promptly at [email protected] if you suspect or become aware of any unauthorized access to or use of your account. To the fullest extent permitted by law, you are responsible for activity that occurs under your account until you have given us such notice and we have had a reasonable opportunity to act on it.

5. Organizations, Roles & Multi-Tenant Access

Propspect is built for use by businesses, not individual consumers. Every User is admitted to the Platform as part of an Organization, and the Service is structured as a multi-tenant environment in which each Organization's business records are kept separate from every other Organization's business records. This section describes how Organizations are structured, the roles Users may hold within them, and how access to different categories of data is scoped.

The Organization Tenancy Model

An Organization is the business or tenant entity through which access to the Platform is granted, whether that is a commercial brokerage, an investment firm, or another real-estate business. Each User account is associated with exactly one Organization at a time. Access to the Platform is invitation-only: a User joins an Organization either by accepting an invitation from that Organization's administrator or, where applicable, through waitlist approval as described in the Eligibility, Invitation & Registration section. An Authorized User is a User who has been admitted to use the Service under an Organization's subscription or Order, as described in the Subscriptions, Orders & Fees section.

Roles

The Platform recognizes three roles:

  • Platform staff. Personnel of AIRE LLC who administer the Platform itself, including account provisioning, technical support, and oversight of Platform-wide functions such as Property Data ingestion. Platform staff access to an Organization's User Content is limited to what is necessary to operate, secure, and support the Service, or to comply with law.
  • Organization administrators. Users designated by an Organization to manage that Organization's presence on the Platform. Organization administrators may invite new Users to the Organization, remove or suspend Users, assign or change roles and permissions within the Organization, configure the Organization's internal visibility and assignment settings described below, and otherwise manage the Organization's account and its members' access.
  • Organization users. Users who have been invited to and accepted membership in an Organization but do not hold administrator permissions. Organization users can use the Service to work with Property Data and to create and manage User Content, subject to the permissions, visibility, and assignment rules their Organization administrator has configured.

An Organization administrator is responsible for the invitations and role assignments they issue and for ensuring that individuals granted access on behalf of the Organization are authorized to use the Service on the Organization's behalf. AIRE LLC is not responsible for verifying the internal employment or engagement status of any individual an Organization administrator invites.

Scoping of CRM Content and Property Data

User Content that an Organization's members create or maintain in the course of using the Platform's CRM functionality, including notes, tasks, deals, contacts, and saved searches, is scoped to that Organization. Content of this kind is visible only within the Organization in which it was created, and is not visible to, searchable by, or shared with any other Organization on the Platform, except as required by law or as necessary for AIRE LLC to operate, secure, or support the Service.

Property Data is treated differently. Because Property Data is derived from public records and licensed data sources rather than from any single Organization's activity, it is made available on a Platform-wide basis to Users across Organizations, subject to the Property Data License & Acceptable Use section. An Organization's use of Property Data, and the analytics, signals, and estimates the Platform derives from it, does not restrict any other Organization's ability to access the same underlying Property Data.

Internal Visibility and Assignment

Within its own tenant, an Organization may configure how its members share User Content with one another. Depending on the settings an Organization administrator selects, an Organization's workspace may be configured so that User Content is broadly shared among the Organization's members, or so that certain User Content is kept private to the User who created it or to a defined subset of members. Organizations may also configure assignment rules that govern which members are associated with particular properties, owners, deals, or territory targets within the Organization's workspace. AIRE LLC does not control how an Organization configures these internal visibility and assignment settings and is not responsible for an Organization's choices in configuring them. Users should direct questions about their Organization's specific visibility or assignment configuration to their Organization administrator.

6. Subscriptions, Orders & Fees

Propspect is not sold through self-serve, in-product checkout. Paid access to the Service is agreed at the Organization level, through an Order between AIRE LLC and the Organization. The Order, not this section, is the controlling document for the commercial terms of an Organization's subscription.

Orders

An Order is an ordering document, order form, or subscription agreement, however titled, executed or otherwise agreed between AIRE LLC and an Organization, that sets out the paid features, plan, number of Authorized Users, pricing, and other commercial terms applicable to that Organization's use of the Service. Where these Terms and an Order conflict on a commercial or account-specific matter, the Order controls for that Organization. These Terms otherwise continue to govern use of the Service, including Property Data licensing, User Content, and the other subjects addressed elsewhere in this document.

An Organization administrator is responsible for accepting an Order on behalf of the Organization and for ensuring that the Organization's use of the Service, including use by its Authorized Users, remains consistent with the Order.

Billing Cycle, Renewal & Cancellation

Billing frequency, invoicing method, subscription term, renewal (including whether a subscription renews automatically), and cancellation terms are as described in your Order. Nothing in these Terms should be read to impose a billing cycle, renewal mechanism, or cancellation right beyond what is stated in the applicable Order, and Organizations should refer to their Order for these terms rather than assume any default.

Taxes and No-Charge Access

Taxes, if any, applicable to fees under an Order are addressed in that Order. Absent an applicable Order, an Organization and its Authorized Users may be granted access to the Service on the invitation or waitlist basis described in the Eligibility, Invitation & Registration section, without any obligation to pay fees under these Terms.

Beta & Pilot Access

AIRE LLC may grant an Organization access to the Service, or to particular features, on a beta or pilot basis at no charge, whether in place of or alongside a paid Order. Beta or pilot access does not itself create a right to continued free access, to conversion into a paid subscription on any particular terms, or to any service level. The Beta & Pilot Features and Feedback section describes additional terms that apply to beta or pilot access.

Fee Disputes & Late Payment

Any dispute over fees invoiced to an Organization, and the consequences of late or non-payment, including suspension of access, are addressed in the applicable Order. An Organization that disputes a charge should raise it through the channel described in its Order, or by contacting us, in a timely manner.

Refunds

Refunds, if any, are as set out in the applicable Order. Absent a stated refund right in an Order, fees paid to AIRE LLC under these Terms are non-refundable.

7. Property Data License & Acceptable Use

Property Data is a core part of what Propspect provides. This section describes the license we grant to use it, the restrictions that apply, and how ownership of Property Data is allocated between Propspect, its data sources, and your Organization.

License Grant

Subject to your Organization's good standing under its Order and your compliance with these Terms, Propspect grants your Organization, and its Authorized Users, a limited, non-exclusive, non-transferable, revocable license to access and use Property Data solely through the Service and solely for the term of the applicable subscription. This license does not include any right to receive Property Data outside the Service except through features Propspect makes available for that purpose (for example, exporting a discrete set of search results for your own records).

Permitted Use

You and your Authorized Users may use Property Data only for your Organization's internal business research and operations in connection with your permitted use of the Service, such as evaluating properties and ownership, identifying prospects, tracking deals, and supporting your own real-estate or brokerage activities. Property Data may be used only for the covered markets and accounts your Organization is licensed for under its Order and may not be shared outside your Organization except with your own clients or counterparties in the ordinary course of your business (for example, sharing a property summary with a prospective seller), and not as a bulk data product.

Prohibited Uses

Without Propspect's prior written consent, you agree not to, and not to permit any Authorized User or third party to:

  • Redistribute, resell, sublicense, syndicate, or otherwise make Property Data available to any third party as a standalone data product or feed;
  • Bulk export, mirror, cache, or systematically download Property Data beyond ordinary, incidental use of the Service's built-in export features;
  • Scrape, crawl, harvest, or use bots, automated queries, or similar means to extract Property Data from the Service, or circumvent any rate limit, access control, or technical measure protecting Property Data;
  • Use Property Data to build, train, or improve a product or service that competes with the Service, or to populate a competing database, CRM, or analytics tool;
  • Combine, aggregate, or republish Property Data in a manner that would allow a third party to reconstruct a substantial portion of the underlying dataset;
  • Remove, obscure, or alter any proprietary notices, disclaimers, or source attributions included with Property Data; or
  • Use Property Data in a way that violates the terms of any underlying public-records source or third-party data license Propspect relies on.

Violation of this section is a material breach of these Terms and may result in suspension or termination of access as described in the Service Availability, Modifications & Termination section, in addition to any other remedies available to Propspect.

Ownership of Property Data

Propspect does not own, and makes no claim of ownership over, the underlying facts contained in public records, government registries, or other third-party sources (such as recorded deeds, mortgages, liens, property appraiser rolls, GIS parcel boundaries, or Florida Sunbiz corporate filings). Those facts remain public or are licensed from their respective sources, and nothing in these Terms restricts your ability to obtain the same underlying public-record facts independently, directly from the government office or source that maintains them.

What Propspect does own is the compiled dataset it assembles from those sources, and the analytics, scores, signals, and other derived outputs Propspect generates from that data (including any figures described in the Data Accuracy, OCR & AI-Derived Estimates section). The license in this section applies to that compiled dataset and those derived outputs, and the restrictions above apply regardless of whether the Property Data at issue originated from a public record.

No Warranty of Result

The license granted under this section does not guarantee that Property Data is complete, current, or suitable for any particular purpose. Use of Property Data in your business decisions is subject to the No Professional Advice & User Decision-Making section and the Disclaimers, Limitation of Liability & Indemnification section.

8. User Content & CRM Records

In the course of using the Service, Organizations and their Authorized Users create and submit records that are distinct from Property Data. We refer to this collectively as User Content: notes, tasks, deals, contacts, saved searches, territory targets, uploaded files and attachments, and any other information an Organization or Authorized User enters into, uploads to, or generates within the Platform, other than Property Data itself. This section describes who owns User Content, what rights we need to operate the Service, each Organization's responsibility for what it submits, and what happens to User Content when access ends.

What User Content Includes

  • Notes and activity records logged against a property, owner, or contact.
  • Tasks, reminders, and related scheduling information.
  • Deals and other pipeline or transaction-tracking records an Organization maintains within the Service.
  • Contacts and other relationship records an Organization stores in the Service.
  • Saved searches, saved filters, and territory or target configurations.
  • Files, documents, and other attachments an Authorized User uploads or, where the Organization has connected Google Workspace features as described in the Third-Party Services, Integrations & Google Workspace section, syncs into the Service.

User Content is organized and scoped as described in the Organizations, Roles & Multi-Tenant Access section: it belongs to, and is visible within, the Organization that created it, subject to that Organization's own internal visibility and assignment settings, and is not shared with other Organizations.

Ownership

As between an Organization and us, the Organization retains all ownership rights in the User Content it and its Authorized Users submit. We do not claim ownership of User Content. Nothing in this section affects ownership of, or our rights in, Property Data, which is licensed to Organizations as described in the Property Data License & Acceptable Use section.

License Granted to Propspect

To provide the Service, each Organization grants us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display its User Content, and to use it to operate, maintain, secure, and support the Platform. This includes making User Content available to the Organization's own Authorized Users, generating analytics and outputs the Organization has requested (for example, matching a saved search against current Property Data, or the deal-network matching described in the Description of the Propspect Platform & Role section), providing customer support, and, where the Organization has enabled an integration such as Google Workspace, transmitting relevant User Content to that connected service. This license also extends to service providers we use to operate the Platform, solely for that purpose and subject to the obligations described in the Privacy Policy's Organizations and Multi-Tenant Data Handling section. It does not permit us to sell an Organization's User Content or disclose it to unrelated third parties for their own purposes, and it ends once the User Content is deleted, except to the extent retained in backups or as required by law.

Responsibility for Submitted Content

Each Organization is solely responsible for the User Content it and its Authorized Users submit, including its accuracy, its lawfulness, and its compliance with these Terms. An Organization represents that it has the necessary rights to submit its User Content and that doing so, and our use of it as described in this section, does not violate the rights of any third party or any applicable law, including laws governing the privacy of individuals whose information may appear in notes, contacts, or files (such as an owner's contact details). Organizations are responsible for configuring their own internal visibility and assignment settings appropriately for the sensitivity of the User Content they submit. We do not review User Content before it is stored and do not monitor it as a routine matter, but we may remove, restrict access to, or disable User Content that we reasonably believe violates these Terms, applicable law, or the rights of a third party, or that poses a security risk to the Platform.

User Content on Termination

If an Organization's subscription or account is terminated or expires, as described in the Subscriptions, Orders & Fees section and the Service Availability, Modifications & Termination section, Authorized Users' access to the Organization's User Content ends as of the termination date. We retain User Content for a limited period following termination to allow for reactivation and to comply with legal or contractual obligations, after which it may be deleted from our active systems in the ordinary course; residual copies may persist in backups for a limited time before being purged in the normal course of those cycles. An Organization may request export of its User Content prior to termination by contacting [email protected]; we will accommodate reasonable requests where feasible but do not guarantee a particular export format, and we are not responsible for User Content that becomes unrecoverable following termination if it was not exported beforehand.

9. Data Accuracy, OCR & AI-Derived Estimates

Property Data made available through the Service is compiled from public records, licensed third-party sources, and automated processing of recorded documents. This section explains how that processing works and the limits on the accuracy and completeness of the resulting data and analytics.

OCR and AI-Assisted Document Processing

Certain recorded documents, such as mortgages, liens, deeds, and related instruments obtained from county recorder or clerk official records, are processed using optical character recognition and machine-learning or artificial intelligence models to extract data points such as loan amounts, interest rates, recording and maturity dates, and party names. This processing may be performed in whole or in part by third-party AI service providers acting as data processors on Propspect's behalf. These tools are applied to scanned or photographed source documents that vary in image quality, formatting, and completeness, and automated extraction from such documents is inherently imperfect.

Extraction errors can include misread characters, misidentified parties, incorrect dates or amounts, and failure to capture data present in the original document. Propspect applies validation logic to reduce these errors but does not manually review or verify every extracted field, and no automated process eliminates the risk of error.

Derived Analytics Are Estimates

Figures and indicators that Propspect calculates from extracted and licensed data, including without limitation loan maturity estimates, pre-foreclosure indicators, ownership tenure, equity or loan-to-value approximations, and any scoring, ranking, or prioritization signal, are estimates derived from the underlying source data available to Propspect at the time of calculation. They are not appraisals, valuations, credit determinations, title reports, or any other form of verified or certified output, and they do not guarantee that a loan will mature, that a default or foreclosure will occur, or that any property will transact on any particular timeline or terms. These estimates can change as underlying records are updated, corrected, or newly discovered, and different estimates may result from the same underlying facts as models and source coverage evolve.

You should treat all such estimates as directional research aids, not as verified facts, and independently confirm any figure material to a business decision before relying on it.

Limitations of Public-Record and Licensed Source Data

Property Data reflects the condition of the public records, government data systems, and licensed third-party datasets from which it is drawn. Those sources may themselves contain errors, omissions, duplications, or outdated information, and may lag actual events in the field, such as a recent sale, satisfied mortgage, released lien, or corrected legal description, by days, weeks, or longer, depending on the recording office or data provider. Coverage may also be incomplete for certain property types, parties, or time periods, and is currently limited to the markets Propspect has onboarded, as described in the Description of the Propspect Platform & Role section.

No Warranty of Accuracy or Completeness

PROPERTY DATA AND ANY ANALYTICS, ESTIMATES, SCORES, OR SIGNALS DERIVED FROM IT ARE PROVIDED ON AN AS-IS, AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PROPSPECT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF PROPERTY DATA OR ANY DERIVED ANALYTICS, AND DOES NOT WARRANT THAT ANY EXTRACTED, AGGREGATED, OR CALCULATED FIGURE MATCHES THE UNDERLYING RECORDED DOCUMENT OR REAL-WORLD FACT. Additional disclaimers and limitations applicable to the Service generally are set out in the Disclaimers, Limitation of Liability & Indemnification section.

  • Independently verify any loan amount, date, lien status, ownership detail, or other figure before using it in an offer, underwriting decision, or other business action.
  • Confirm material figures against the original recorded document or an authoritative source, such as the county recorder or clerk of court, the property appraiser, or a title company, where accuracy matters to your decision.
  • Report suspected extraction or data errors to [email protected] so Propspect can review and, where appropriate, correct the underlying record.

10. No Professional Advice & User Decision-Making

Propspect is a software and data-intelligence tool for commercial real estate professionals. Nothing in the Service, and nothing communicated by AIRE LLC or Gridline Properties in connection with the Service, constitutes legal, tax, investment, appraisal, or brokerage advice, and no such advice is given or implied by your use of the Platform. Propspect is not a brokerage, is not a law firm, is not an accounting or tax advisory firm, and is not a licensed appraiser. The Service does not list properties, represent buyers or sellers, negotiate transactions, or participate in any transaction between parties.

Analytics and Signals Are Decision-Support Only

The Property Data available through the Service, and the analytics Propspect derives from it, including ownership history, recorded mortgage and lien information, loan maturity estimates, pre-foreclosure or sell-pressure indicators, and any other scoring, ranking, or flag shown on the Platform, are decision-support tools only. They are provided to help you prioritize and organize your own prospecting work, not to tell you what to do. Any such output is always an estimate or a signal, never a statement of fact, and should be described and treated as such regardless of how it is labeled or displayed within the Platform. As described in the Data Accuracy, OCR & AI-Derived Estimates section, figures derived from optical character recognition or AI and machine-learning models may be incomplete, delayed, or incorrect, and are not a substitute for verification against the underlying public record or a professional's independent analysis.

No Substitute for Licensed Professional Judgment

You should not rely on the Service as a basis for deciding whether to pursue, structure, price, finance, or close any real estate transaction, or for any other legal, tax, investment, or appraisal decision. Before making any business or transactional decision informed by the Service, you are expected to exercise your own independent professional judgment and, where appropriate, consult qualified and appropriately licensed professionals, including attorneys, certified public accountants, licensed appraisers, and licensed real estate brokers, in your jurisdiction.

  • Verify any Property Data, analytics, or signal against the underlying public record or another independent source before relying on it.
  • Confirm ownership, lien, mortgage, and encumbrance information directly with the county recorder, clerk of court, or property appraiser before taking action based on it.
  • Obtain your own legal, tax, investment, or appraisal advice before entering into, financing, or terminating any transaction.
  • Do not treat any estimate, score, or flag generated by the Service as a representation, warranty, or guarantee of any outcome.

User Responsibility for Decisions

You remain solely responsible for all business and transactional decisions you make in connection with your use of the Service, including decisions about which properties or owners to contact, what terms to propose, whether to proceed with, modify, or abandon a prospective transaction, and how to weigh any analytics or signal against your own diligence and professional advice. The Service may surface information or highlight patterns, but you are responsible for evaluating that information in light of your own circumstances, expertise, and risk tolerance.

To the fullest extent permitted by law, AIRE LLC is not liable for any losses, costs, or damages arising from decisions you make, or actions you take or fail to take, based on Property Data, analytics, signals, or any other output of the Service, including where that output later proves to be inaccurate, incomplete, or outdated. This section supplements, and does not limit, the disclaimers and limitations of liability described in the Disclaimers, Limitation of Liability & Indemnification section.

11. Third-Party Services, Integrations & Google Workspace

The Platform incorporates or interoperates with a number of third-party services in order to deliver Property Data, analytics, and CRM functionality to Users. This section describes those categories of third-party services, the optional Google Workspace integration, and the limits of our responsibility for services we do not operate.

Google Workspace Integration

The Platform offers an optional integration that lets a User connect a personal or work Google account to sync data with Gmail, Google Calendar, Google Tasks, Google Contacts, and Google Drive. This integration is off by default and is never enabled without the User's affirmative action. Connecting a Google account allows features such as logging emails and meetings against CRM records or attaching files from Google Drive to a property, owner, or deal record.

Each Google Workspace feature is independently toggleable. A User may enable Gmail syncing without enabling Calendar, Tasks, Contacts, or Drive, and may change these selections at any time. The connection as a whole, and each individual feature, may be revoked at any time from the Platform's Settings, or by removing the Platform's access directly from the User's Google account permissions. Revocation stops future syncing; it does not automatically delete records already created in the Platform from prior syncing, which a User may separately delete as with other User Content.

Data obtained through the Google Workspace integration is handled as described in the Google Workspace Integration and Limited Use Disclosure section of the Privacy Policy, which governs how information received from Google APIs is used, stored, and shared. That disclosure controls over any conflicting general statement about data handling elsewhere in these Terms or the Privacy Policy.

Other Third-Party Service Providers

Beyond Google Workspace, the Platform relies on other categories of third-party providers to operate, including: cloud hosting, storage, and content delivery providers; managed database providers; transactional email delivery providers; artificial intelligence and machine learning processing providers used to support document OCR and derived analytics as described in the Data Accuracy, OCR & AI-Derived Estimates section; property-data and public-records sources, including county recorder and clerk systems, property appraiser rolls, GIS parcel data, and state corporate registries; and analytics providers. Property Data is hosted in the United States.

These providers are engaged to support the Service and are not parties to these Terms. Where a provider is a data source rather than infrastructure, its own availability, update cadence, accuracy, and licensing terms govern the underlying records it supplies, and Propspect's role is limited to aggregating, processing, and presenting that data as described in the Description of the Propspect Platform & Role section.

No Responsibility for Third-Party Services

We do not control, and are not responsible for, the availability, accuracy, security, or performance of any third-party service, including Google Workspace, AI/ML processing providers, property-data and public-records sources, or hosting and infrastructure providers. Any of these services may change, restrict, suspend, or discontinue its offerings, application programming interfaces, or terms at any time, and such a change may affect the availability or behavior of related Platform features.

To the fullest extent permitted by law, we disclaim responsibility for any loss, delay, error, outage, or data issue arising from or attributable to a third-party service, including any interruption to Google Workspace syncing, unavailability of a public-records source, or a change made unilaterally by a third-party provider. Use of any third-party service accessed through or connected to the Platform, including a User's Google account, is also subject to that provider's own terms and privacy policy, and the User is responsible for compliance with them.

12. Beta & Pilot Features and Feedback

From time to time we may make available features, tools, or workflows that are labeled or otherwise identified as beta, pilot, preview, early access, or similar (collectively, "Beta Features"), and we may grant an Organization no-charge access to the Service or to specific features as part of a pilot ("Pilot Access"), whether or not any Order is in place. This section describes the terms that apply to Beta Features and Pilot Access in addition to the rest of these Terms.

Beta Features and Pilot Access Are Provided As Is

Beta Features and any Pilot Access are made available on an as is and as available basis, without warranty of any kind, whether express, implied, or statutory. Beta Features may be incomplete, may not reflect the final version of a feature, and may produce results that are less reliable, less accurate, or less complete than generally available features of the Service. This applies with particular force to analytics, estimates, and other output described in the Data Accuracy, OCR & AI-Derived Estimates section, which should be treated as even less certain when generated by a Beta Feature.

We may modify, limit, suspend, or discontinue any Beta Feature or any Pilot Access, in whole or in part, at any time and without notice or liability, including before an Authorized User has had the opportunity to make full use of it. We do not commit to making any Beta Feature generally available, to maintaining it in its current form, or to preserving any User Content, configuration, or data created or stored using a Beta Feature. Where Pilot Access is later succeeded by a paid subscription, the terms of that subscription, including fees, will be as set out in the applicable Order, as described in the Subscriptions, Orders & Fees section.

Feedback

We welcome comments, suggestions, bug reports, and other input about Beta Features or any other aspect of the Service ("Feedback"). Providing Feedback is voluntary. You agree that we may use, reproduce, modify, and incorporate Feedback into the Service and any other products or services, for any purpose, without any obligation to you, including no obligation to compensate you, attribute the Feedback to you, or provide you with any ownership interest in any resulting feature or product. To the extent any rights in Feedback vest in you notwithstanding the foregoing, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, and create derivative works from that Feedback for any lawful purpose.

You should not include in any Feedback information that you are not authorized to share, and Feedback should not itself constitute User Content subject to confidentiality or ownership commitments beyond what is described in the User Content & CRM Records section.

No Narrowing of Other Disclaimers

This section supplements, and does not limit or narrow, the disclaimers, limitations of liability, and other protections set out elsewhere in these Terms, including in the Disclaimers, Limitation of Liability & Indemnification section, the Data Accuracy, OCR & AI-Derived Estimates section, and the No Professional Advice & User Decision-Making section. Those provisions apply in full to Beta Features and Pilot Access, and nothing in this section should be read to imply a higher standard of reliability, availability, or accuracy for Beta Features or Pilot Access than for the generally available Service.

13. Service Availability, Modifications & Termination

Service Availability

The Service may be unavailable, degraded, or slower than usual from time to time because of scheduled maintenance, unplanned outages, technical issues affecting the Platform or its underlying infrastructure, interruptions at third-party sources feeding Property Data (such as county recorder or clerk systems, property appraiser rolls, GIS providers, or state corporate registries), or factors outside our reasonable control, including internet or utility failures, force majeure events, and cyber incidents. We use commercially reasonable efforts to operate a reliable and secure Platform, but we do not guarantee uninterrupted, error-free, or continuous availability of the Service or any feature, and we are not liable for temporary disruptions or delays to the fullest extent permitted by law.

Where practicable, we will aim to schedule planned maintenance to minimize disruption and to give active Organizations reasonable notice of material outages, but some interruptions may occur without advance notice.

Modifications, Suspension & Discontinuation of Features

We may modify, enhance, suspend, or discontinue any part of the Service at any time, including specific features, workflows, integrations, covered markets, data sources, or analytics, to improve the Service, address security or legal requirements, respond to changes in data availability from our sources, or for other legitimate business reasons. Where practical, we will give Organizations reasonable notice of a material change that removes or substantially degrades a feature they actively use, such as by email or an in-app notice, but we are not obligated to provide advance notice in every case, particularly where a change is required to comply with law or to address a security or data-source issue outside our control.

Continued use of the Service after a modification takes effect constitutes acceptance of that modification. If we discontinue a feature or data source that materially reduces the value of a paid subscription, the effect on fees is governed by the Organization's Order, or, absent other terms, is subject to good-faith discussion between the parties.

Termination Rights

We may suspend or terminate an Organization's or an individual User's access to the Service, in whole or in part, if we reasonably believe that:

  • the Organization or User has breached these Terms, including the Property Data license and Acceptable Use restrictions described in the Property Data License & Acceptable Use section;
  • an invoice or other amount owed under an Order is past due and not cured within a reasonable period after notice;
  • an individual User's invited access to an Organization has been revoked, or the User's basis for Organization membership has otherwise ended, in each case as determined and communicated to us by the Organization, since Propspect does not independently verify a User's employment or engagement status with an Organization, as described in the Organizations, Roles & Multi-Tenant Access section;
  • the Organization's or User's activity presents a security risk, involves suspected fraud or unlawful conduct, or otherwise poses a risk of harm to Propspect, other Organizations, or third parties; or
  • such action is required to comply with law, a regulatory request, or a licensing condition imposed by one of our data sources.

We may also place a temporary hold on an account or specific features while we investigate a suspected violation. Where reasonable, we will attempt to notify the affected Organization or User using the contact information on file, but we are not obligated to give advance notice where we reasonably believe doing so would increase security or legal risk. An Organization may terminate its own subscription in accordance with its Order, and an Organization administrator may remove an individual User's access to the Organization at any time.

Effect of Termination

On termination or suspension, the affected Organization's and its Users' right to access the Service ends, and Users may immediately lose the ability to view Property Data, CRM records, or other tools through the Platform. Termination does not excuse any fees already owed under an Order and does not affect obligations that by their nature should survive, including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, and dispute resolution, each as described elsewhere in these Terms.

Where an Organization's access is terminated other than for cause, we will make a reasonable, good-faith effort to allow the Organization to retrieve a copy of its own User Content for a limited period following termination, upon timely request and subject to technical feasibility. We are not obligated to retain or make available User Content indefinitely, and we may delete User Content associated with a terminated account after that window in accordance with the retention practices described in the Privacy Policy's Data Retention section. Property Data itself is licensed, not owned by the Organization, and access to it does not survive termination.

14. Intellectual Property

The Service, including its software, user interfaces, analytics models, algorithms, documentation, and the compiled form of the Property Data made available through the Platform, is owned by AIRE LLC or its licensors. Except for the limited rights expressly granted to you in these Terms, no rights or interests in the Service are transferred or assigned to you, whether by implication or otherwise, and all such rights are reserved.

Property Data is Distinct from the Underlying Public Records

Our ownership of the Service's compiled Property Data covers the manner in which we aggregate, organize, structure, and enrich that data, and the analytics and signals we derive from it, not the underlying facts themselves. The underlying public-record facts, such as recorded deeds, mortgages, liens, property appraiser rolls, GIS parcel information, and state corporate registry filings, remain public and are not owned by us. Nothing in these Terms limits your ability to obtain the same underlying public records directly from the county recorder, clerk of court, property appraiser, state registry, or other original source.

License to Use the Service

Subject to your and your Organization's continued compliance with these Terms and any applicable Order, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your Organization's internal business purposes in connection with commercial real-estate prospecting, as described in the Description of the Propspect Platform and Role section. This license does not permit you to resell, sublicense, lease, or otherwise make the Service available to any third party, including any business that is not part of your Organization, except as expressly permitted in an Order.

Restrictions

You agree not to, and not to permit any third party to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or analytics models of the Service.
  • Copy, scrape, crawl, bulk-export, or otherwise reproduce the compiled Property Data or any other part of the Service except through the features we make available for that purpose and subject to any usage limits in your Order.
  • Use automated means to access the Service other than through the interfaces and APIs we provide.
  • Remove, obscure, or alter any proprietary notices on the Service.
  • Use the Propspect name, logo, or any other trademark, service mark, or trade dress associated with Propspect without our prior written consent, except to the extent necessary to identify that you are a user of the Service.
  • Use the Service to build a competing product or service.

Any use of the Service that is not expressly authorized by these Terms is prohibited and may result in suspension or termination of your access, in addition to any other rights or remedies available to us under applicable law.

User Content

This section does not affect your Organization's ownership of its own User Content. As described in the User Content and CRM Records section, Organizations retain ownership of the notes, tasks, deals, contacts, saved searches, files, and other materials they submit to the Service, subject to the license they grant us to operate and support the Service.

Claims of Infringement by User Content

If you believe that User Content made available through the Service, including a file or attachment an Authorized User has uploaded or synced from a connected Google Drive account, infringes your copyright or other intellectual property rights, you may notify us at [email protected]. Your notice should identify the material you believe is infringing, describe the right you believe is being infringed, and provide enough information for us to locate the material within the Service and to contact you. As described in the User Content and CRM Records section, we do not review User Content before it is stored and do not monitor it as a routine matter, but upon receiving a notice we reasonably believe is credible, we may remove or disable access to the identified User Content pending our review, and we may contact the Organization or Authorized User that submitted it. We may decline to act on a notice that is incomplete, unsubstantiated, or that we otherwise cannot reasonably verify.

15. Disclaimers, Limitation of Liability & Indemnification

General Disclaimers

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Propspect disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of a course of dealing or usage of trade.

Without limiting the foregoing, and consistent with the Property Data License & Acceptable Use, Data Accuracy, OCR & AI-Derived Estimates, and No Professional Advice & User Decision-Making sections, Propspect does not warrant or guarantee that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any Property Data, OCR output, AI-derived estimate, analytics, signal, or third-party material made available through the Service will be accurate, complete, current, or reliable; (c) any particular business, investment, or transactional outcome will result from use of the Service; or (d) the Service will be free of viruses or other harmful components. Property Data is drawn from public records and licensed third-party sources and is processed in part using OCR and AI/ML models; figures such as loan amounts, dates, ownership history, and maturity or pre-foreclosure indicators are estimates and may contain errors, omissions, or delays. You and your Organization are solely responsible for independently verifying any Property Data or AI-derived estimate before relying on it for any business, financial, legal, or transactional decision.

Limitation of Liability

To the fullest extent permitted by law, in no event will Propspect, its affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, savings, goodwill, data, or business opportunities, whether based in contract, tort (including negligence), strict liability, or otherwise, arising out of or in connection with your or your Organization's use of or inability to use the Service, even if Propspect has been advised of the possibility of such damages.

To the fullest extent permitted by law, Propspect's aggregate liability for all claims arising out of or relating to the Service, these Terms, or any Order will be limited to the total amount of fees actually paid by the applicable Organization to Propspect under the Order giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim. Where no fees have been paid under an applicable Order, including Beta or pilot access provided at no charge as described in the Beta & Pilot Features and Feedback section, Propspect's aggregate liability will not exceed the amount, if any, specified for this purpose in the applicable Order or, absent such a provision, a nominal amount. Some jurisdictions do not allow certain disclaimers or limitations of liability; in such jurisdictions, the above disclaimers and limitations will apply only to the extent permitted by applicable law.

Indemnification

To the fullest extent permitted by law, the Organization agrees to defend, indemnify, and hold harmless Propspect, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, complaints, actions, suits, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) access to or use of the Service by the Organization or any of its Authorized Users; (b) any User Content submitted, uploaded, or made available through the Service by the Organization or its Authorized Users, including the accuracy, completeness, and lawfulness of such content; (c) any violation of these Terms, applicable law, or the rights of a third party (including intellectual property or privacy rights) by the Organization or any of its Authorized Users; or (d) any misuse of the Service or of Property Data by the Organization or any of its Authorized Users, including use of Property Data outside the scope of the license and acceptable use restrictions described in the Property Data License & Acceptable Use section, or any business, legal, tax, or financial decision made in reliance on an AI-derived estimate. Propspect reserves the right, at the Organization's expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, without limiting the Organization's indemnification obligations, and the Organization agrees to cooperate with Propspect's defense of such claims.

16. Governing Law, Dispute Resolution & Arbitration

Propspect is a business-to-business platform. An Organization that registers for the Service accepts these Terms on its own behalf and on behalf of each of its Authorized Users, and is responsible for its Authorized Users' compliance with these Terms. The provisions of this section apply to any dispute between AIRE LLC and an Organization, and, to the extent an individual User asserts a claim relating to the Service in their own capacity, to that User as well.

Governing Law

To the fullest extent permitted by law, these Terms, your use of the Platform, and any dispute, claim, or controversy arising out of or relating to them, whether in contract, tort, statute, or otherwise, will be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice-of-law or conflict-of-law rules that would result in the application of the laws of any other jurisdiction. Subject to the arbitration provisions below, you agree that the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction and venue in those courts and waive any objection that such courts are an inconvenient forum.

Dispute Resolution Process

Before initiating a formal legal or arbitration proceeding, you agree to first attempt to resolve any dispute, claim, or controversy with us informally. To do so, send a written notice describing the issue in reasonable detail to [email protected]. We will use commercially reasonable efforts to work with you in good faith to resolve the dispute informally within a reasonable period, typically thirty (30) days after receiving your notice. If the parties are unable to resolve the dispute informally within that time, either party may pursue the dispute through arbitration as set forth below or, where arbitration does not apply, in the courts described above.

Nothing in this section limits either party's ability to seek temporary or preliminary injunctive relief or other equitable remedies from a court of competent jurisdiction to prevent immediate or irreparable harm, including with respect to unauthorized use of Property Data, User Content, or Propspect's intellectual property, pending final resolution of the dispute through the process described in this section.

Arbitration and Class Action Waiver

To the fullest extent permitted by applicable law, you (including, where applicable, your Organization) and AIRE LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Service that cannot be resolved informally will be resolved exclusively and finally by binding, individual arbitration rather than in court, except that either party may bring a qualifying claim in small claims court if it falls within that court's jurisdiction, and except as otherwise provided for injunctive relief above. Arbitration will be conducted confidentially before a single neutral arbitrator, under the rules and procedures of a recognized arbitration administrator mutually agreed upon by the parties, or, if the parties cannot agree, selected by AIRE LLC, and consistent with this section. The arbitrator will have authority to award any remedy that would be available in a court of competent jurisdiction, subject to the limitations and disclaimers set out in the Disclaimers, Limitation of Liability & Indemnification section.

YOU AND AIRE LLC AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION, AND NOT ON BEHALF OF ANY OTHER ORGANIZATION, USER, OR AUTHORIZED USER. YOU AND AIRE LLC FURTHER AGREE THAT EACH PARTY IS WAIVING THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE ORGANIZATION OR USER OR OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

If a court of competent jurisdiction determines that any portion of this arbitration and class action waiver provision is unenforceable as to a particular claim or request for relief, then that claim or request for relief, and only that claim or request for relief, will proceed in the courts identified in the Governing Law section above, and the remaining provisions of this section will continue to apply to the fullest extent permitted by law.

Where an Organization's Order includes separate dispute-resolution or governing-law terms that expressly reference these Terms, the Order's terms control for disputes between AIRE LLC and that Organization arising under the Order, and this section otherwise applies to disputes concerning use of the Service generally.

17. Changes to Terms & Notices

These Terms and our Privacy Policy are each versioned by date. Every version identifies its version date and effective date, and the version that was in effect when you accepted governs your use of the Service during that period. We record acceptance of these documents per User, including a timestamp, the document version, and the IP address from which acceptance was given.

Updates to These Terms and the Privacy Policy

We may update these Terms or the Privacy Policy from time to time to reflect changes to the Platform, applicable law or regulatory requirements, the data and services we integrate with, or our business practices. Updates are made at our reasonable discretion and consistent with applicable law. An updated version supersedes prior versions as of its stated effective date.

Notice of Changes

When we make a change to these Terms or the Privacy Policy, we will provide notice by reasonable means appropriate to the nature and impact of the change. Notice may be given by email to the address associated with your account, by in-app or dashboard notice upon your next login, or by posting the updated document on the Service with a new version date. Where a change is administrative or does not materially affect your rights or obligations, we may post the updated version without separate email notice.

Re-Acceptance of Material Changes

For changes we determine to be material, we may require you to re-accept the updated Terms or Privacy Policy, such as through a renewed acceptance checkbox at login, before you can continue using the Service. Where re-acceptance is requested, continuing to use the Service is conditioned on that re-acceptance.

Continued Use as Acceptance

Where we do not request separate re-acceptance, an updated version becomes effective as of its stated effective date, and your continued access to or use of the Service after that date constitutes your acceptance of the updated Terms and Privacy Policy. If you do not agree to an updated version, you must stop using the Service and may deactivate your account as described in the Service Availability, Modifications & Termination section.

Organization administrators are responsible for communicating material changes to Authorized Users within their Organization. Notices sent to an Organization's designated account contact are deemed received by that Organization for purposes of this section.

18. Miscellaneous

This section contains general legal provisions that apply to these Terms as a whole, in addition to the specific rules described in the other sections of this document.

Entire Agreement

These Terms, together with the Propspect Privacy Policy and any Order, addendum, or policy expressly referenced in these Terms, constitute the entire agreement between you and us regarding your access to and use of the Service. They supersede any prior or contemporaneous agreements, proposals, representations, or communications, whether written or oral, concerning the same subject matter. If your Organization has a separately signed Order or subscription agreement with AIRE LLC that conflicts with these Terms, the Order controls solely with respect to the specific terms it addresses (such as fees, term length, or seat counts); these Terms continue to govern everything else, including acceptable use, data handling, and dispute resolution.

Assignment

You may not assign, transfer, or delegate these Terms, or any of your rights or obligations under them, whether by operation of law, change of control, or otherwise, without our prior written consent. Any attempted assignment without that consent is void. We may assign, transfer, or delegate these Terms and any related rights or obligations, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganization, financing, or sale of assets or business. These Terms bind and benefit the parties and their respective permitted successors and assigns.

Severability

If a court or other tribunal of competent jurisdiction holds any provision of these Terms to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remainder of these Terms will remain in full force and effect. The invalid, illegal, or unenforceable provision will be treated as modified or, if modification is not possible, severed, in either case to the minimum extent necessary so the remaining Terms continue to reflect the parties' original intent as closely as possible.

Force Majeure

We will not be liable or responsible for any failure or delay in performing our obligations under these Terms, or for any resulting unavailability or degradation of the Service, to the extent caused by circumstances beyond our reasonable control. These include, without limitation, acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, power outages, changes in law or governmental action, and failures or outages of third-party infrastructure, cloud hosting, data, or service providers that Property Data, AI/OCR processing, or other Service features depend on, as described in the Third-Party Services, Integrations & Google Workspace section. This section does not excuse payment obligations that are otherwise due under an Order.

No Waiver

Our failure or delay in exercising or enforcing any right or provision of these Terms will not operate as a waiver of that right or provision, and a waiver of any term on one occasion will not be treated as a waiver of that term on any other occasion or a waiver of any other term. No waiver will be effective unless made in writing and signed by an authorized representative of AIRE LLC.

No Partnership, Joint Venture, or Agency

AIRE LLC operates Propspect in partnership with Gridline Properties, a commercial real estate brokerage that helps shape the product, as described in the Description of the Propspect Platform & Role section. That relationship exists between AIRE LLC and Gridline Properties and does not extend to Users. Nothing in these Terms, and nothing about Gridline Properties' role in shaping or contributing to the Platform, creates a partnership, joint venture, franchise, fiduciary relationship, or agency relationship between Propspect, Gridline Properties, and any User or Organization. Neither Propspect nor Gridline Properties has authority to bind the other, or to bind any User or Organization, in any respect on account of that relationship, and no User or Organization is a third-party beneficiary of the arrangement between AIRE LLC and Gridline Properties. Your relationship to Propspect remains that of an independent business using the Service, and nothing in these Terms should be read as Propspect or Gridline Properties providing brokerage, agency, or representative services to you, consistent with the No Professional Advice & User Decision-Making section.

Notices

We may provide notices to you under these Terms as described in the Changes to Terms & Notices section. For general questions or notices regarding these Terms, you may contact us at [email protected].

Headings and Interpretation

Section headings in these Terms are for convenience only and do not affect interpretation. The word "including" means "including without limitation" wherever it appears in these Terms.

19. Privacy & Data Protection

Our collection, use, sharing, retention, and protection of personal data in connection with the Service are described in the Propspect Privacy Policy, a separate document that is incorporated into these Terms by reference. The Privacy Policy explains, among other things, the categories of personal data we collect from Users; how we collect and use that data; the legal bases for our processing; how we process publicly available records about individuals appearing in Property Data; how data is separated between Organizations; our use of cookies and analytics; data retention and security practices; and your privacy rights and choices.

You accept the Privacy Policy together with these Terms through the single signup checkbox presented at registration, as described in the Introduction & Agreement to Terms section. The Privacy Policy is versioned by date independently of these Terms, and we may request re-acceptance when either document changes materially.

Three aspects of the Privacy Policy are called out here because they allocate responsibilities under these Terms. First, User Content is scoped to your Organization as described in the Organizations, Roles & Multi-Tenant Access section, and the Privacy Policy's Organizations and Multi-Tenant Data Handling section describes how that separation is applied to personal data. Second, if you connect the optional Google Workspace integration, our handling of Google user data is governed by the Privacy Policy's Google Workspace Integration and Limited Use Disclosure section. Third, personal data appearing in Property Data is processed as described in the Privacy Policy's Individuals Appearing in Public-Records Data section, and your use of that data must comply with the Property Data License & Acceptable Use section of these Terms.

If there is a direct conflict between these Terms and the Privacy Policy on a matter the Privacy Policy specifically addresses, the Privacy Policy controls solely for that matter. Questions about the Privacy Policy or our data practices may be directed to [email protected].
